Welcome to Payfaci. These Terms & Conditions ("Terms") govern all requests, purchases, and use of Payfaci's AI infrastructure, automation services, development solutions, and related deliverables ("Services").

By requesting a service, accepting an invoice, or making a payment, you agree to these Terms.

1. Definitions

"Payfaci", "We", "Us", "Our" means Payfaci, the service provider.

"Client", "You" means any individual or organization requesting or purchasing Services from Payfaci.

"Deliverables" refer to AI models, workflows, scripts, integrations, reports, or completed work delivered by Payfaci.

2. How Our Service Works

  1. Client contacts us with project requirements.
  2. We review the request and issue a quotation or invoice.
  3. Client pays the invoice.
  4. We deliver the requested service or solution.

No user accounts or subscriptions are required.

3. Acceptance of Terms

Sending project details, accepting an invoice, or making payment constitutes your agreement to these Terms.

4. Payment Terms

  • Work begins only after full payment (or agreed deposit) is received.
  • All payments are non-refundable, except if Payfaci is unable to deliver the agreed-upon service.
  • Additional work outside the agreed scope will require additional payment.
  • Clients are responsible for any bank charges, transfer fees, or taxes.

5. Delivery of Services

  • Delivery timelines are provided based on the project.
  • Deliverables are sent digitally via email, shared drives, or another agreed method.
  • Payfaci is not responsible for delays caused by incomplete information or lack of communication from the Client.

6. Client Responsibilities

Clients agree to:

  • Provide clear and complete requirements.
  • Supply necessary files, data, and access where needed.
  • Ensure materials provided are legally owned or licensed.
  • Use Deliverables in compliance with applicable laws.

7. AI Outputs & Limitations

You acknowledge that:

  • AI outputs may contain inaccuracies.
  • All Deliverables must be reviewed before being used in critical systems.
  • Payfaci is not responsible for damages or decisions derived from AI outputs.

8. Intellectual Property

Unless otherwise agreed:

  • Payfaci owns all underlying tools, frameworks, and systems used to produce deliverables.
  • You receive a non-exclusive license to use the final Deliverables for your business.
  • You may not resell or redistribute Deliverables without written permission.
  • Custom-built code created solely for the Client may be transferred with full rights upon agreement.

9. Confidentiality

Both parties agree to maintain the confidentiality of project details, data, business information, and proprietary material.

Payfaci does not disclose or sell Client information to third parties unless required by law.

10. Data Security

Payfaci uses reasonable data protection practices, but:

  • No system is 100% secure.
  • Payfaci is not liable for breaches beyond its control.
  • Clients are responsible for securely sending sensitive information.

11. Revisions & Scope Changes

  • Minor revisions may be included depending on the agreement.
  • Scope changes or additional features will require a new invoice or additional fees.
  • Payfaci is not obligated to provide revisions beyond the agreed scope.

12. No Warranties

Services and Deliverables are provided "as-is".

Payfaci does not guarantee:

  • Accuracy of AI outputs
  • Compatibility with all third-party platforms
  • Long-term functionality of automations
  • Any specific business outcomes

13. Limitation of Liability

To the fullest extent permitted by law, Payfaci is not liable for:

  • Loss of revenue or profits
  • Business interruption
  • Loss of data
  • Third-party API or system failures
  • Misuse of Deliverables
  • AI-related inaccuracies

Total liability will not exceed the project amount paid by the Client.

14. Cancellations

Before payment:
→ Client may cancel without obligation.

After payment:
→ All payments are non-refundable, except if Payfaci is unable to deliver the agreed-upon service.

15. Governing Law & Jurisdiction

Governing Law:
These Terms are governed by the laws of England and Wales, without regard to conflict of law principles.

Jurisdiction:
Any legal action related to these Terms shall be brought exclusively in the federal courts of England and Wales.
